PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING ANY SERVICES PROVIDED BY AMBASSADOR MANAGEMENT GMBH (GERMANY) OR AMBASSADOR FINANCIAL GROUP LTD. (UK) (COLLECTIVELY, “AMBFG,” “WE,” OR “US”). BY ACCESSING THIS WEBSITE, UTILIZING OUR DIGITAL PLATFORMS, OR ENGAGING WITH ANY SERVICES, YOU (THE “USER” OR “CLIENT”) ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND IRREVOCABLY AGREED TO BE BOUND BY ALL TERMS, CONDITIONS, DISCLAIMERS, AND LIMITATIONS SET FORTH HEREIN. IF YOU DO NOT ACCEPT THESE TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE ALL USE OF AMBFG’S SERVICES AND EXIT THIS WEBSITE.

1. DEFINITIONS AND INTERPRETATION

1.1 Definitions. For purposes of this Agreement:

“Agreement”: These Terms of Service, including all annexes, schedules, and incorporated policies (e.g., Privacy Policy, Acceptable Use Policy).
“Services”: All financial, advisory, digital, and institutional solutions provided by AMBFG, including but not limited to wealth management, global capital markets access, investment banking, online banking platforms, mobile applications, APIs, research tools, and institutional advisory services.
“User”: Any individual, legal entity, or institution accessing or using AMBFG’s Services, including authorized representatives, agents, or affiliates thereof.
“Content”: All text, graphics, data, software, algorithms, market analyses, reports, and intellectual property made available through AMBFG’s platforms.
“Force Majeure”: Events beyond AMBFG’s reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government restrictions, systemic cyberattacks, exchange failures, or infrastructure collapses.

1.2 Interpretation.

Headings are for convenience only and do not affect interpretation.
References to clauses, sections, or appendices are to this Agreement.
The singular includes the plural and vice versa.
“Including” means “including without limitation.”

2. ACCEPTANCE AND MODIFICATION OF TERMS

2.1 Unconditional Acceptance.
By accessing, browsing, or interacting with AMBFG’s website (https://ambfg.com), mobile applications, APIs, or any Services, you hereby:
(i) Affirm that you are of legal age and capacity to enter into binding agreements;
(ii) Represent that you have read, comprehended, and unconditionally accepted all terms herein;
(iii) Agree to comply with all applicable laws, regulations, and third-party agreements governing your use of Services.

2.2 Modification Rights.
AMBFG reserves the exclusive, unilateral right to amend, supplement, or replace this Agreement at any time, without prior notice, at its sole discretion. Such modifications shall become effective immediately upon publication on AMBFG’s website. Your continued use of Services after such modifications constitutes irrevocable acceptance of the revised terms. You are solely responsible for regularly reviewing this Agreement to ensure awareness of any changes.

2.3 Supplemental Terms.
Certain Services (e.g., online banking, leveraged trading, discretionary portfolio management) may require acceptance of additional terms, disclosures, or agreements (“Supplemental Terms”). Supplemental Terms are hereby incorporated by reference into this Agreement and shall govern in the event of any conflict with these general Terms.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility Criteria.
To utilize AMBFG’s Services, you must:
(i) Be at least 18 years of age and possess full legal capacity under the laws of your jurisdiction;
(ii) Provide accurate, current, and complete information during account registration and KYC/AML verification processes;
(iii) Reside in a jurisdiction where AMBFG’s Services are legally permissible and not subject to embargoes, sanctions, or regulatory restrictions.

3.2 Account Registration.
(i) You agree to provide truthful and verifiable information, including but not limited to full legal name, date of birth, tax identification numbers, proof of address, and source of wealth documentation.
(ii) AMBFG reserves the right to reject, suspend, or terminate accounts at its sole discretion, including for failure to comply with KYC/AML requirements or suspicion of fraudulent activity.
(iii) You are solely responsible for maintaining the confidentiality of account credentials (e.g., passwords, API keys) and liable for all activities conducted under your account.

3.3 Institutional Clients.
Entities must designate authorized representatives via corporate resolutions or powers of attorney. AMBFG may require notarized documentation to validate authority.

4. SERVICES AND USER OBLIGATIONS

4.1 Scope of Services.
AMBFG offers the following Services, subject to jurisdictional availability and regulatory approvals:

Wealth Management:
- Discretionary and advisory portfolio management.
- Retirement, estate, and tax-efficient legacy planning.
- Risk mitigation strategies, including insurance and hedging solutions.
Global Capital Markets:
- Execution of trades in equities, fixed income, foreign exchange (FX), derivatives, structured products, and alternative investments.
- Access to proprietary market research, algorithmic trading tools, and liquidity pools.
Digital Banking:
- Online account management, real-time fund transfers, bill payments, and multi-currency wallets.
- Integration with third-party payment processors and custodial services.
Institutional Solutions:
- Bespoke fund structuring, liquidity management, and treasury services.
- Regulatory compliance advisory, anti-financial crime (AFC) frameworks, and stress-testing solutions.

4.2 Prohibited Conduct.
You expressly agree not to:
(i) Use Services for unlawful purposes, including money laundering, terrorist financing, tax evasion, or fraud;
(ii) Manipulate markets, engage in insider trading, or disseminate false or misleading information;
(iii) Reverse-engineer, decompile, or exploit vulnerabilities in AMBFG’s software, APIs, or security protocols;
(iv) Transfer, sublicense, or resell access to your account or Services to third parties;
(v) Upload malware, conduct denial-of-service attacks, or disrupt AMBFG’s infrastructure.

4.3 Compliance with Laws.
You shall comply with all applicable laws, including but not limited to:

EU General Data Protection Regulation (GDPR);
UK Data Protection Act 2018;
Anti-Money Laundering Directives (AMLD 5/6);
U.S. Foreign Account Tax Compliance Act (FATCA);
Jurisdiction-specific sanctions and embargoes.

5. FEES, COMMISSIONS, AND PAYMENT TERMS

5.1 Fee Structures.
Fees for Services may include, but are not limited to:

Management Fees: Calculated as a percentage of Assets Under Management (AUM), billed quarterly in arrears.
Performance Fees: Applicable where investment returns exceed predefined benchmarks, as detailed in Supplemental Terms.
Transactional Commissions: Charged per trade execution, with rates disclosed pre-trade via AMBFG’s platforms.
Custodial Fees: Imposed by third-party custodians for asset safekeeping, billed separately.

5.2 Payment Obligations.
(i) Fees are due within 14 calendar days of invoice issuance.
(ii) Late payments shall incur interest at the rate of 1.5% per month or the maximum permitted by law.
(iii) AMBFG reserves the right to liquidate positions, suspend accounts, or withhold Services for unpaid fees.

5.3 Tax Compliance.
AMBFG may issue tax documentation (e.g., Form 1099, KAP returns) but assumes no responsibility for your tax filings, withholdings, or penalties.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Ownership.
All Content, trademarks, logos, algorithms, and software provided by AMBFG are the exclusive property of AMBFG or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use Content solely for personal, non-commercial purposes.

6.2 Restrictions.
You shall not:
(i) Reproduce, distribute, or create derivative works from AMBFG’s Content without prior written consent;
(ii) Use AMBFG’s trademarks or branding in a manner that implies endorsement or affiliation;
(iii) Scrape, data-mine, or harvest information from AMBFG’s platforms.

7. DISCLAIMERS AND RISK DISCLOSURES

7.1 No Warranty.
AMBFG PROVIDES SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AMBFG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CONTINUOUS OPERATION.

7.2 Market Risks.
YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH FINANCIAL MARKETS, INCLUDING BUT NOT LIMITED TO:

Capital loss due to market volatility, geopolitical events, or currency fluctuations;
Liquidity risks in alternative investments, private equity, or structured products;
Counterparty risks in over-the-counter (OTC) derivatives or unsecured lending;
Operational risks, including system failures, latency, or trade execution errors.

7.3 Third-Party Services.
AMBFG disclaims liability for third-party platforms, payment processors, custodians, or brokers integrated with its Services.

8. LIMITATION OF LIABILITY

8.1 Exclusion of Indirect Damages.
IN NO EVENT SHALL AMBFG, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF BUSINESS OPPORTUNITY, REPUTATIONAL HARM, OR DATA BREACHES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Liability Cap.
AMBFG’S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO AMBFG IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) €500,000 (FOR EU CLIENTS) / £450,000 (FOR UK CLIENTS).

8.3 Indemnification.
You agree to indemnify, defend, and hold harmless AMBFG from and against any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
(i) Your breach of this Agreement;
(ii) Your negligence, fraud, or willful misconduct;
(iii) Third-party claims related to your use of Services.

9. TERMINATION AND SUSPENSION

9.1 Termination Rights.
AMBFG reserves the right to suspend, restrict, or terminate your access to Services immediately, without prior notice, for:
(i) Violations of this Agreement or applicable laws;
(ii) Failure to meet margin calls or payment obligations;
(iii) Regulatory directives, legal proceedings, or Force Majeure Events.

9.2 Post-Termination Obligations.
(i) Outstanding fees, taxes, or debts remain payable post-termination.
(ii) AMBFG may liquidate open positions at prevailing market rates.
(iii) Survival clauses (e.g., confidentiality, indemnification, dispute resolution) remain in effect.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law.

EU/EEA Clients: Governed by German law, excluding conflict of law principles.
UK Clients: Governed by English law.

10.2 Mandatory Arbitration.
Any dispute arising from or related to this Agreement shall be resolved through binding arbitration administered by:

ICC Arbitration (for EU Clients), seated in Frankfurt, Germany;
LCIA Arbitration (for UK Clients), seated in London, England.

10.3 Waiver of Class Actions.
YOU IRREVOCABLY WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

11. MISCELLANEOUS PROVISIONS

11.1 Severability.
If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.2 Entire Agreement.
This Agreement constitutes the entire understanding between you and AMBFG, superseding all prior oral or written agreements.

11.3 Assignment.
You may not assign or transfer any rights under this Agreement without AMBFG’s prior written consent.

11.4 Force Majeure.
AMBFG shall not be liable for delays or failures in performance resulting from Force Majeure Events.

11.5 Waiver.
No waiver of any breach of this Agreement shall constitute a waiver of subsequent breaches.

BY CONTINUING TO USE AMBFG’S SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY.

NOTE: THIS AGREEMENT CONTAINS BINDING ARBITRATION CLAUSES AND CLASS ACTION WAIVERS THAT MAY AFFECT YOUR LEGAL RIGHTS. CONSULT INDEPENDENT LEGAL COUNSEL BEFORE USING AMBFG’S SERVICES.
